  1. Acceptance of Terms

By accessing or purchasing licenses through the 365 Cloud Store website, you agree to these Terms & Conditions and all applicable laws. 

  1. Services

365 Cloud Store offers Microsoft business licenses and subscriptions as a Microsoft Cloud Solution Provider (CSP). Products include Microsoft 365, Dynamics 365, Windows 365, Azure, and other Microsoft cloud solutions as listed on the site. 

  1. Orders and Subscription

    • Licenses are sold as subscriptions or perpetual licenses depending on the product. 
    • Subscription terms, payment frequency, and renewal policies are specified at the point of sale. 
    • Customers must provide accurate and complete billing and contact information. 
    • New customer discounts and promotions are subject to eligibility requirements and time limits as communicated. 

  1. Pricing and Payment

    • Prices are as listed on the website and are subject to change with notice. 
    • Payment is required as per the selected billing cycle and accepted payment methods. 
    • Late or failed payments may result in suspension or termination of license access. 

  1. License Use

    • Licenses are for authorized use only under Microsoft’s licensing terms and agreements. 
    • Customers are responsible for compliance with all Microsoft licensing requirements and applicable laws. 
    • Resale or unauthorized transfer of licenses is prohibited without explicit written consent from Venti Exchange LLC.

  1. Promotions

    • Promotional offers, such as discounts, are subject to specific terms, eligibility rules, and expiration dates provided at the time of the offer. 
    • Promotions cannot be combined unless stated otherwise. 
      • 1Applicable solely to Microsoft US commercial license subscriptions and excludes Government, Academic, or Nonprofit subscriptions. A minimum purchase of 5 licenses is required. Payment via ACH or bank wire is required. We ensure a minimum of 3% savings compared to Microsoft’s published online list pricing upon meeting the aforementioned criteria.

      • 3 15% off Microsoft 365 Copilot annual subscriptions, available to eligible commercial customers committing to 300 to 9,999 seats. Valid from July 1, 2026 through September 30, 2026. A minimum purchase of 300 licenses is necessary. Payment must be made via ACH or bank wire.
      • 4Valid for organizations switching their monthly to annual billing. 
      • 5Offer provides 2 months free on Teams PowerPack solutions, including Teams PowerPack – Call Analytics, Teams PowerPack – Call Detail Records, and Teams PowerPack – Customer Experience for Microsoft Teams. Valid on new purchases with a 12-month term and a minimum of one base package required. The 2 free months are applied within the annual term and represent a promotional discount on the total contract value. Payment must be made via ACH or bank wire.
      • 615% off Microsoft 365 E5 annual subscriptions available for new customers only (no prior purchase of E5). Valid through September 30, 2026. Applies to 1–9,999 licenses. Available through CSP. Discount auto-applied at checkout.

Eligible customers receive up to 50% off Microsoft Purview Suite for Business Premium for subscriptions of 10 to 300 seats, under an annual commitment with annual or monthly billing options.
      • 9This limited-time promotion is valid from May 1, 2026 through December 31, 2026, and is available worldwide exclusively to CSP customers on New Commerce Experience who are purchasing a new Microsoft 365 E7 or Microsoft 365 E7 (no Teams) subscription. Eligible customers receive 10% off an M365 E7 annual subscription for a minimum of 10 seats, applicable to subscriptions between 10 and 9,999 licenses, under an annual commitment with annual or monthly billing options.
      • 10This offer is non-transferable and cannot be combined with any other offer or discount on Windows 365. This offer is available only once per customer. The 25 percent discount applies to monthly and annual subscriptions and will be in effect for the duration of the purchase commitment.
      • 11This offer runs from July 1, 2026 to September 30, 2026 and applies for both new and existing CSP customers.

  1. Refunds and Cancellations

    • Refund policies vary by product and promotion. Unless otherwise specified, licenses are non-refundable once activated or delivered. 
    • Cancellation procedures and terms will be outlined in subscription agreements. 

  1. Data Security and Privacy

    • Customer information collected through the website or in connection with transactions is handled in accordance with the Privacy Policy available on the 365 Cloud Store website. 

  1. Intellectual Property

    • All Microsoft software licenses and related intellectual property rights remain with Microsoft Corporation. 
    • 365 Cloud Store is authorized to resell licenses but does not grant any rights beyond what Microsoft licenses allow. 

  1. Disclaimer and Limitation of Liability

    • 365 Cloud Store offers licenses “as is” and is not responsible for Microsoft software performance or support. 
    • Liability for any damages related to license acquisition or use is limited to the amount paid for the relevant license or subscription within the last 12 months. 
    • 365 Cloud Store disclaims warranties except as required by law or Microsoft agreements. 

  1. Changes to Services and Terms

    • 365 Cloud Store may update products, pricing, or terms with advance notice where possible. 
    • License terms may be affected by changes imposed by Microsoft. 

  1. Governing Law and Jurisdiction

    • These Terms & Conditions are governed by the laws of the jurisdiction where Venti Exchange LLC is registered. 
    • Disputes will be resolved according to applicable legal processes in that jurisdiction.
